New Contract: Carphone Warehouse

New Company: Four Seasons Group acquires JCW Air Conditioning Ltd

Four Seasons Group Continues Acquisition Strategy


Four Seasons Group (FSG), the specialist air conditioning building services group, has acquired JCW Ltd for an undisclosed sum. JCW is a successful heating, ventilation and air conditioning business operating in the UK, from the South West across to Cambridgeshire. The acquisition of JCW adds a further £12 million of revenue resulting in combined proforma revenue for the Group in excess of £25 million. This places Four Seasons Group as one of the largest air conditioning led building services Groups in the UK.


The combined business boasts an impressive client list including H&M, William Hill, WH Smith, Ladbrokes, Nationwide Building Society, Waterstones, Costa Coffee, University of Bristol, BBC Wales, HMCS, Admiral Insurance, Virgin mobile, MOD, Boots, La Senza, and Carphone Warehouse. The acquisition accelerates the planned strategy of building a broader client profile across a wider range of market sectors.


The enlarged Group, which employs 200 staff and has its headquarters in High Wycombe, has made the acquisition as the latest step in a ‘buy and build’ strategy with a view to becoming the leading UK specialist in its field.


Stuart Lawrie, Chief Executive Officer said, “I am delighted to welcome JCW Air-conditioning Ltd to the Four Seasons Group. The acquisition represents a significant step towards Four Seasons Group becoming the UK’s leading air conditioning led building services Group. The acquisition increases our scope of service, geographical coverage and ability to serve clients on both the high street and in the broader commercial sector.”


David Jones of JCW commented that the synergies between the two Companies, geographically, technically and commercially were key factors in the decision to join Four Seasons. “This is a classic case of the whole being greater than the sum of the parts”


Barclays Ventures made an initial investment in May 2007 and have supported FSG with a further equity injection to fund the acquisition.


Dion Hirst, Investment Director at Barclays Ventures said: ”JCW is a great acquisition for the Group and brings with it broader management capability and depth. JCW is the third acquisition in less than 3 years and demonstrates the buy and build strategy and ambition of management and the commitment from Barclays Ventures from a funding point of view.”

Other advisors on the deal included Sean Fitzgerald and Nicola Frost of Cobbetts, advising FSG; Matin O’Shea of Addleshaw Goddard, advising Lloyds TSB Corporate Markets; Jonathan Steed of Grant Thornton, who carried out the financial due diligence; and Costi Karayannis of PMSI, who carried out the commercial due diligence.

Four Seasons Group appoints Anthony Barton as new Business Development Director

I am delighted to join Four Seasons Group as we grow and expand coverage across the UK in a climate when many companies are resigned to consolidation. The timing of my appointment comes as we acquire JCW Air Conditioning  creating the opportunity to unite our service and product  offerings to established customers and market sectors whilst targeting areas for growth.

Having worked in the building services sector for over 20 years working for Lorne Stewart, Johnson Controls Inc. and Satchwell Controls I will draw upon my experience in the role of Group Business Development Director to provide innovate and progressive propositions to our existing customers and target clients . As the economic climate is as demanding as ever our product and service offerings will stand out to be competitive and give all our customers compelling reasons to choose us.

Our loyal customers who know us well can expect to see a broader range of service offerings realising the financial benefits of a consolidated supply chain whilst out target client base will not be disappointed engaging with Four Seasons Group. AAS becomes Four Seasons Installation

From the 1st of December 2009 the name AAS will be replaced by Four Season Installation as part of our strategy to streamline our brands in the market. Four Seasons Installation Ltd will deliver the same services previously handled by Air Conditioning and Associated Services Ltd (AAS).Four Season Installation Ltd is part of the Four Seasons Group in exactly the same way that AAS is.


AAS has been part of the Four Seasons Group, the national air conditioning and building services provider, for over 2 years now and there will be no change to service levels provided with Malcolm and the team continuing to operate in the same way from their offices in Epsom.
All projects started prior to 1 December will be completed by AAS Ltd with any projects started post 1 December completed in the name of Four Seasons Installation Ltd.

New Contracts: Bright outlook for the Four Seasons Group

Following a steady start to the year the Four Seasons Group is enjoying a busy summer having won a number of new installations and maintenance contracts. 

Having successfully tendered a number of new WHS, William Hill and Costa Coffee sites across the UK we have also secured large installation contracts off the high street with Winstable Medical Centre and new client Assurant Solutions.  

Through our team in High Wycombe we are working on the refurbishment and autumn refreshes for 12 H&M stores located in major conurbations from Glasgow through to Central London.

Our success is not only limited to the UK as we have engineers working on projects in Eire and the refitting of an All Saints Store in Berlin.

Having provided the reactive work for a number of years, the Four Seasons Group has also secured a 12 month planned and reactive maintenance contract with the British Transport police. This follows the large HMV maintenance contract which was secured in the first quarter of 2009.

All together the Group has secured contracts and projects in excess of £3m since April 2009.Image
